Acceptance of Terms

Welcome to Game ZenithalX (the "Service"). These Terms of Service ("Terms") govern your access to and use of the Service, which is provided by Game ZenithalX ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, then you may not access or use the Service. Your continued use of the Service constitutes your acceptance of these Terms.

1. Use of Our Service

a. You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

b. We grant you a limited, non-exclusive, revocable license to access and use the Service for its intended purposes, subject to these Terms.

c. You are responsible for any activity that occurs through your account (if applicable) and for keeping your password and account credentials secure. You agree to notify us immediately of any unauthorized use of your account or any other security breach.

d. You agree not to use the Service for any illegal or unauthorized purpose. You agree to comply with all laws, rules, and regulations applicable to your use of the Service.

e. You must not interfere with or disrupt the Service or servers or networks connected to the Service, including by submitting malware, overloading the Service, or reverse engineering any part of the Service.

f. Game ZenithalX provides a curated discovery layer for browser games. Games are hosted and operated by their respective publishers. We do not control their content, availability, advertising, or privacy practices. You should review the publisher's terms when a game asks you to do so.

2. User Rules and Responsibilities

You agree that you will not:

a. Use the Service to violate any law, regulation, or third-party right;

b. Upload, post, or transmit any content that is unlawful, harmful, defamatory, obscene, infringing, or otherwise objectionable;

c. Impersonate another person or entity, or falsely represent your affiliation with a person or entity;

d. Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any computer systems or networks connected to the Service;

e. Use any automated tools (bots, scrapers, crawlers) to access or collect data from the Service without our prior written permission;

f. Engage in any activity that could disable, overburden, or impair the proper functioning of the Service;

g. Use the Service to send unsolicited communications, advertising, or promotional material;

h. Encourage or induce any third party to engage in any of the above conduct.

You are solely responsible for your conduct while using the Service and for any consequences that may result from your actions.

3. Intellectual Property

The Service and its original content, features, functionality, design, graphics, logos, and trademarks are and will remain the exclusive property of Game ZenithalX and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Game descriptions, thumbnails, and other media displayed on the Service are the property of their respective publishers and are displayed for discovery and informational purposes only. All rights not expressly granted to you in these Terms are reserved by Game ZenithalX and its licensors.

4. User Content (if applicable)

If the Service permits you to post, link, or otherwise make available content ("User Content"), you grant us a non-exclusive, worldwide, royalty-free license to use, modify, publicly perform, publicly display, reproduce, and distribute such User Content on and through the Service. You retain any and all of your rights to any User Content you submit. You are responsible for your User Content, including its legality, reliability, and appropriateness, and you represent that you have all necessary rights to submit it.

5. Third-Party Links and Games

Our Service contains links to third-party web sites or services (including browser games) that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You acknowledge that we shall not be liable for any damage or loss caused by your use of any third-party site or service.

6. Disclaimers

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

7. Limitation of Liability

IN NO EVENT SHALL GAME ZENITHALX, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE PAST TWELVE (12) MONTHS, OR, IF YOU HAVE NOT PAID ANYTHING, TWENTY U.S. DOLLARS ($20.00).

8. Indemnification

You agree to defend, indemnify and hold Game ZenithalX harmless from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service, or a breach of these Terms.

9. Account Deactivation and Termination

If the Service offers account functionality, you may request deletion or deactivation of your account at any time by contacting us at [email protected]. Upon such request, we will take reasonable steps to remove your personal data in accordance with our Privacy Policy and applicable law.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitation of liability.

Upon termination, your right to use the Service will cease immediately. You remain responsible for any charges or liabilities incurred prior to termination.

10. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

We will indicate the date of the most recent revision at the top of this page. We encourage you to review these Terms periodically for any updates.

11. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including the formation, interpretation, or breach thereof, shall first be attempted to be resolved through good-faith informal negotiation. Either party must initiate such negotiation by sending a written notice of the dispute to the other party. If the dispute cannot be resolved through informal negotiation within sixty (60) days, the dispute shall be finally resolved by binding arbitration administered in accordance with the rules then in effect, rather than in court.

The arbitration shall be conducted by a single arbitrator, and the language of the arbitration shall be English. The arbitration proceedings shall take place in accordance with applicable arbitration rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

You and Game ZenithalX agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to protect intellectual property rights.

12. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. For the purposes of any dispute not subject to arbitration under Section 11, you and Game ZenithalX agree to submit to the exclusive jurisdiction of the courts located in Beijing, China, which shall be the competent court for the resolution of any such disputes.

If you are accessing the Service from outside China, you agree that the laws of the People's Republic of China shall govern these Terms, and any disputes shall be resolved as provided in Section 11 above. You are responsible for ensuring that your use of the Service complies with all applicable laws in the jurisdiction where you reside.

13. Entire Agreement

These Terms constitute the entire agreement between Game ZenithalX and you regarding the Service and supersede and replace any prior agreements we might have between us regarding the Service. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
